Board Of Directors Rules

Adopted April 15, 2000
  Section 1. The affairs of the Association shall be managed by a Board of Directors who need not be members of the Association.
 
  Section 2. The Board of Directors shall consist of nine (9) members, three (3) of whom are elected by the members of the Association at each annual meeting and shall hold office for a term of three (3) years or until their successors are elected.
 
No member of the Board of Directors may be engaged as an employee or in any contractual arrangements with the Association, including, but not limited to, the providing of services, materials, or supplies or the operation of Common Properties.
 
Vacancies on the Board of Directors shall be filled by a majority vote of remaining Directors. The nomination of at least three (3) appointees shall be submitted to the Board by the Nominating Committee prior to the next regular Board meeting.
 
  (a) A vacancy occurring on the Board of Directors shall be filled by appointment only until the next annual or special meeting of the members at which members will elect a Board member(s) to complete the unexpired term.  
  (b) Any duly elected or appointed Director is to hold office until his successor is elected by the members who make such election at the next annual meeting or special meeting duly called for that purpose.
